Davis Polk Poaches Cooley’s Capital Markets Leader Brookshire

Davis Polk & Wardwell is bringing on Nicole Brookshire, the co-chair of Cooley’s public company practice group, as the Wall Street firm looks to expand its booming capital markets practice.

Brookshire was a longtime Cooley partner in its capital markets and public companies practices, as well as a member of the firm’s board of directors. She has been ranked as the top IPO issuer-side tech lawyer and top software IPO lawyer on the East Coast for several years by independent research firm Deal Point Data.

The New York lawyer has recently advised high-profile IPOs and direct listings, like those by ACV Auctions, Allbirds, Etsy, The Honest Company, Datadog and Rent the Runway. Other previous clients include CS Disco, Datto, Warby Parker, Braze, MongoDB, Similarweb, Sprinklr, BigCommerce and UiPath.

Brookshire joins Davis Polk as a partner in its capital markets group in Manhattan.

“[Brookshire] is an exceptional lawyer and has built one of the foremost practices advising issuers on their IPOs,” said Michael Kaplan, head of Davis Polk’s corporate department, in a statement.

Neil Barr, the firm’s managing partner called Brookshire “a trusted adviser to companies across industries seeking access to the capital markets.”

“Her addition further strengthens our firm’s position as the leading capital markets practice in the world,” Barr said.

Davis Polk topped the underwriters’ market last year, advising on 151 IPOs worth more than $62 billion, according to data compiled by Bloomberg Law. That was more than any other law firm in 2021 and nearly double its total from the previous year.

The firm advised on nearly twice as much in IPO deal value as its next closest last year, working on 80 deals valued at more than $34 billion.

Brookshire’s move was brokered by Sabina Lippman, partner and co-founder of global legal recruitment firm Lippman Jungers Bala.

Brookshire is just the latest addition to Davis Polk. Earlier this year, the firm brought on the global head of Ropes & Gray’s M&A practice Paul Scrivano.
